1. The agreement

These Terms of Service ("Terms") form a binding agreement between you (or the entity you represent) and Capital Project Inc. ("we", "us"). By creating an account, accessing the application at /app, or otherwise using the service, you agree to these Terms.

3. License to use the service

Subject to these Terms and any subscription you have with us, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the service for your internal business purposes. You may not resell, sublicense, or white-label the service without our written consent.

4. Your data

You retain all rights to schedules, project data, and other content you upload ("Customer Data"). You grant us a limited license to host, process, and analyze Customer Data solely to provide and improve the service. We do not sell Customer Data and we do not use it to train external AI models.

You represent that you have the rights to upload Customer Data and that doing so does not violate any third-party obligation.

5. Fees and trials

Some tiers of the service are paid. Pricing is described on the Pricing page or in your order form. Pilot terms, trial windows, and any performance-based pricing are described in the agreement covering your account. Fees are non-refundable except as required by law or expressly stated in your order form.

7. AI Advisor outputs

The AI Advisor and the engine analyses are decision-support tools. They generate forecasts, allocations, and commentary based on the inputs you provide. They are not professional advice (legal, financial, engineering, or otherwise). You are responsible for verifying outputs before acting on them and for the decisions you make using the service.

8. Availability and changes

We strive to keep the service available but do not guarantee uninterrupted operation. We may modify, add, or remove features. Material changes that adversely affect paid functionality will be communicated to account holders.

9. Warranty disclaimer

To the maximum extent permitted by law, the service is provided "as is" and "as available". We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our aggregate liability arising out of or related to these Terms will not exceed the greater of (a) the fees you paid to us in the 12 months preceding the event giving rise to the claim, or (b) US$100.

11. Indemnification

You agree to indemnify and hold us harmless from third-party claims arising out of (a) your Customer Data, (b) your use of the service in violation of these Terms, or (c) your violation of applicable law.

12. Termination

You may close your account at any time by emailing founder@capitalproject.ai. We may suspend or terminate your access if you breach these Terms or use the service in a way that creates risk for us or other users. On termination, your right to use the service ends; provisions that by nature should survive will survive.

13. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Disputes will be resolved exclusively in the state or federal courts located in Harris County, Texas, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.
